Paragraph 19 · Addendum DD

The buyer may receive the property at closing—and still inherit someone else’s vacation reservation.

Addendum DD controls seasonal or short-term occupancy agreements that continue after closing, including seller-created bookings, management contracts and the buyer’s limited review rights.

What Addendum DD does

It coordinates a property sale with guest occupancy scheduled after ownership changes.

A vacation-rental property can close while future guests already possess contractual rights to arrive. Addendum DD determines whether the seller may create or renew those post-closing bookings and how existing property-management arrangements affect the buyer.

The rider is designed for seasonal and short-term vacation occupancy—not ordinary annual leases, which are addressed elsewhere in the purchase contract.

Two tracks

Section A controls seller bookings. Section B controls management agreements.

Both sections concern occupancy after closing, but they create different choices, delivery duties and deadlines.

A + BBookings and management require separate review
Section A

New or renewed bookings

The parties select whether the seller may enter seasonal or vacation occupancy agreements after the Effective Date for third-party use after Closing—and whether buyer approval is required.

Section B

Existing management agreements

The seller delivers property-management agreements tied to existing seasonal occupancy. The buyer receives a limited review-and-cancellation period.

Six rider mechanics

The form manages bookings created before closing that perform after closing.

01

Seasonal occupancy

The property may be or become subject to seasonal or short-term vacation rental agreements.

02

Seller may—or may not

Section A requires a selection controlling new or renewed agreements after the Effective Date.

03

Buyer approval choice

If bookings are permitted, the parties choose whether buyer’s prior written approval is required.

04

Market rates and terms

Permitted new or renewed agreements must be made at market rates and terms.

05

Management review

Section B gives the buyer copies and a five-day cancellation decision window.

06

Post-closing survival

If the buyer does not cancel, specified management obligations continue after Closing.

Section A · seller booking authority

The first checkbox decides whether the seller can add post-closing occupancy.

The seller either may or may not enter new or renewed seasonal or vacation rental/occupancy agreements after the Effective Date and before Closing for third-party use after Closing.

If “may” is selected, a second choice determines whether the seller needs the buyer’s prior written approval of rental terms and conditions or may proceed without that approval.

Complete both Section A choices. Permission to book and the buyer-approval requirement answer two different questions.
Buyer approval—or no prior approval

The buyer’s control depends entirely on the selected Section A option.

With prior written approval selected, the seller must present the proposed terms and obtain approval before entering the agreement. Without-prior-approval selected, the seller may create qualifying bookings without that advance consent.

Either way, the seller must provide the buyer at or before Closing with copies of new or renewed post-closing occupancy agreements entered after the Effective Date.

1

Proposed booking

Confirm dates occur after Closing and the rates and terms are market-based.

2

Check the selection

Determine whether prior written buyer approval is required.

3

Execute or decline

Follow the authority actually granted in the signed rider.

4

Deliver the agreement

Give the buyer a copy at or before Closing.

Section B · two five-day clocks

Delivery and cancellation run from different starting points.

The first clock begins at Effective Date. The second begins when the buyer receives the management agreement.

Seller’s clock

5 days after Effective Date

Seller provides copies of all property-management agreements connected to existing seasonal occupancy agreements.

Buyer’s clock

5 days after receipt

If a management agreement is unacceptable, buyer may cancel in accordance with Paragraph 6(b).

No cancellation

Obligation survives Closing

Buyer becomes bound for the duration of existing occupancy agreements remaining in place at Closing.

Short-term is not annual

Addendum DD is not the general lease-information provision.

Rental length and legal structure matter when selecting the correct contract language.

Addendum DD

Seasonal and vacation occupancy

Addresses short-term or seasonal agreements for occupancy after Closing, seller booking authority and related management agreements.

Main contract

Annual rental arrangements

Annual leases are handled through the contract’s lease-information and occupancy provisions, not by treating DD as a universal rental rider.

Operational handoff

The reservation calendar is only the beginning of what must transfer.

Only as selected in Section A. The rider must state that seller “may,” and the seller must follow the selected buyer-approval requirement.

Does the buyer always approve new bookings?

Seller must give buyer copies at or before Closing of qualifying new or renewed agreements entered after the Effective Date.

When are property-management agreements due?

Seller must provide all applicable property-management agreements within five days after the Effective Date.

How long does the buyer have to cancel over a management agreement?

What if the buyer does not cancel?

The buyer is bound by the property-management agreement for the duration of existing occupancy agreements remaining at Closing, and that obligation survives Closing.

Does DD automatically transfer Airbnb or VRBO accounts?
